Article 1 – Applicability of the General Terms and Conditions

  • These general terms and conditions between IT-recup and customer are applicable on to the following services: sales, repairs, maintenance.
  • The customer acknowledges having read, understanding and accepting these terms.
  • Deviations on these general terms and conditions are only valid with a written confirmation.

Article 2 – Offers – orders

  • The prices and conditions (as stated on the offers) are valid during a period of 30 days and/or as long as stock is available.
  • The customer acknowledges having read, understanding and accepting these terms.

Article 3 – Payment

  • All invoices/bills need to be paid within 30 days.
  • All costs, due to extorted payment via amicable settlement or judicial measures, including lawyer and bailiff costs will be billed to the client.
  • Not paying one bill on the final day of payment, automatically makes all outstanding invoices claimable, regardless of the original final day of payment.
  • All payments will be accounted as compensation for interests and damages.

Article 4 – Delivery or performance

  • The delivery and/or execution times as indicated are only shown by means of information and are not binding.
  • When because of force majeure or unforeseen circumstances IT-recup is unable to deliver the agreement within set terms, IT-recup reserves the right to end the agreement or to stop execution of performance. Clients cannot claim any compensation for damages.
  • IT-recup only transports or ships goods on the clients expenses and client risk. The client is responsible for the merchandise from the moment that an agreement is made.

Article 5 – Visible defects – invisible defects

  • Every complaint concerning visible or invisible defects, must reach IT-recup per registered post or e-mail within 5 days of delivery/receipt.
  • IT-recup can only be held accountable for invisible defects that exist on the moment of delivery/placement.
  • Every complaint concerning invisible defects, must reach IT-recup per registered post within 5 days of discovery of the defect. Otherwise the complait is subject of forfeiture.

Article 6 – Retention

  • All goods/services remain property of IT-recup until full payment of due bills.

Article 7 – Validity of the general terms

  • If certain provisions of this agreement should be annulled due to violation of the applicable legislation, the other provisions remain in force and valid between both parties.

Article 8 – Jurisdiction - applicable law

  • All settlements of disputes resulting from these rules will be handled by the authorized courts of justice of the Leuven territory, where Belgian law applies. All demands that result from this agreement should be made by the client at the judicial authority within 3 months after the emanation of the demands. Otherwise the complait is subject of forfeiture.
